1. Who we are and what these terms cover
These Terms of Service ("Terms") form an agreement between you and UAB "Taikomasis dirbtinis intelektas" (company code 304845429, Architektų g. 9, Lazdijų k., Lazdijų r., Republic of Lithuania) ("AAI Labs", "we"). They govern your use of:
- the website at agentbarn.dev (the "Site");
- Agent Barn Cloud, the hosted control plane at cloud.agentbarn.dev ("Cloud");
- the Personal Agent subscription;
- Supervised Pilots and other professional services we agree to deliver.
In these Terms, Cloud, the Personal Agent and Supervised Pilots together are the "Services". If you use the Services on behalf of an organisation, you confirm that you are authorised to accept these Terms for it, and "you" means that organisation.
A signed order form, statement of work or other written agreement may set specific terms for a Service. Where it conflicts with these Terms, it prevails. Our Privacy Policy and Refund Policy form part of these Terms.
2. The open-source software
The Agent Barn software is published under the Apache License 2.0. If you download, run or modify it on your own infrastructure, that licence governs your use, not these Terms. You are responsible for operating, securing and complying with the law in your own installation. These Terms apply to the Services we provide.
3. Accounts
- Cloud accounts are created by invitation from an organisation administrator or from us. Keep your credentials and API keys confidential. You are responsible for activity under your account.
- Organisation owners and administrators control who belongs to the organisation, their roles, and which agents each person can use.
- Tell us promptly at [email protected] if you suspect unauthorised access.
- You must be at least 18 years old to use the Services.
4. The Services
Agent Barn Cloud
Cloud is offered free of charge for a limited time, as a pilot. Pilot features may change, be limited or be withdrawn. Before we start charging for Cloud, we will give you at least 30 days' notice and the new terms. You will not be charged unless you accept them. Model inference is not included in the free offer and is charged as described in Section 6.
Personal Agent
The Personal Agent is a monthly subscription to a personal agent that you use through Telegram. Each billing period includes the model usage allowance shown on the pricing page at the time you subscribe. Unused allowance does not carry over. When you reach the allowance, the agent pauses until the next period, unless you choose to buy more.
Supervised Pilots
A Supervised Pilot is a fixed-scope, fixed-fee engagement, normally eight weeks long. We map one workflow with your team, deploy a supervised agent for it, and hand it over. The workflow, deliverables, start date and the access you will give us are agreed in writing before the pilot starts. A pilot's success depends on your team's timely access, input and decisions.
5. Your data and your agents
- You own your data. As between you and us, you keep all rights in the content you and your agents put into the Services ("Customer Data"). You grant us a licence to host, process and transmit Customer Data only as needed to provide and secure the Services.
- Data protection. Where we process personal data on your behalf, we act as your processor under our data processing agreement. You are responsible for having a lawful basis to process that data, including any notice owed to people whose messages or records your agents handle.
- No training. We do not use Customer Data to train AI models.
- Connected systems. You choose which chat platforms, accounts and business systems your agents can reach, and with what permissions. You must have the right to connect them. Your use of those systems remains subject to their own terms. We are not responsible for third-party services, their availability or their changes.
6. Fees, model usage and payment
- Prices are shown on the pricing page or in your order. They are in US dollars and exclude VAT and other taxes, which we add where the law requires.
- Personal Agent subscriptions are billed monthly in advance and renew automatically until you cancel.
- Supervised Pilots are invoiced when the engagement is agreed. Invoices are payable within 14 days unless your order says otherwise.
- Model inference beyond any included allowance is charged at the rate shown in the Service or in your order, or billed to the model-provider account you connect. Your organisation can set spending budgets for its agents.
- Payments are processed by the payment service provider shown at checkout, or by bank transfer for invoices. We do not store full card details.
- If payment is overdue, we may suspend the affected Service after giving notice. Refunds are covered by our Refund Policy.
7. Acceptable use
You must not use the Services, or allow an agent to be used, to:
- break any law, or infringe anyone's rights, including privacy and intellectual-property rights;
- access accounts, systems or data you are not authorised to access;
- send spam, run deceptive campaigns, or impersonate a person without disclosing that they are dealing with an AI agent where the law requires it;
- develop malware, attack or probe systems without authorisation, or interfere with the Services or other customers;
- make decisions with legal or similarly significant effects on people based solely on an agent's output, without appropriate human review;
- breach the usage policies of the model providers or connected services your agents use;
- resell the Services, or use them to build a competing hosted service, without our written agreement.
We may suspend an agent or account that breaches this section, or that endangers the Services or others. Where practical, we will tell you first and give you a chance to fix the problem.
8. AI output and supervision
Agents use large language models. Their output can be inaccurate, incomplete or inappropriate, and they can take actions in the systems you connect. Agent Barn gives you controls to scope permissions, review activity and keep people in the loop. Deciding how much autonomy each agent has, and reviewing consequential actions, is your responsibility. You are responsible for how you use an agent's output and the actions you authorise it to take.
9. Intellectual property and feedback
Apart from the open-source software, which its licence governs, we and our licensors own the Services, the Site and our materials. Agent Barn and AAI Labs names and logos are our trademarks. If you send us feedback or suggestions, we may use them without obligation to you. Deliverables created for you in a Supervised Pilot, such as workflow maps, agent configurations and prompts, are yours once you have paid for the pilot. We may reuse our general know-how, tools and templates.
10. Availability and changes
We work to keep the Services available and secure, but we do not guarantee uninterrupted or error-free operation, particularly while a Service is offered as a pilot. We may change the Services over time. If we make a change that materially reduces a paid Service, we will give you notice. You may then cancel and receive a refund for the unused prepaid period.
11. Term, cancellation and termination
- You can stop using Cloud, or cancel a Personal Agent subscription, at any time. A cancellation takes effect at the end of the current billing period.
- Either party may terminate if the other materially breaches these Terms and does not fix the breach within 14 days of notice.
- When the Services end, you can export your data for 30 days. After that, we delete Customer Data as described in our Privacy Policy, unless the law requires us to keep it.
- Sections 5, 6 (for amounts owed), 8, 9 and 12 to 15 survive termination.
12. Disclaimer
To the extent the law allows, the Services are provided "as is" and "as available". Free and pilot Services in particular come without any warranties, whether express or implied, including fitness for a particular purpose. Nothing in these Terms limits rights you have as a consumer that cannot be excluded by contract.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect or consequential loss, or for loss of profits, revenue, goodwill or data. Each party's total liability under these Terms is capped at the amounts you paid us for the affected Service in the 12 months before the claim. For free Services, the cap is EUR 100. These limits do not apply to liability that cannot be limited by law, such as liability for fraud, intent, gross negligence, or death or personal injury caused by negligence.
14. Indemnity
You will defend and compensate us against third-party claims that arise from your Customer Data, from systems you connect without authorisation, or from your breach of Section 7.
15. Governing law and disputes
These Terms are governed by the law of the Republic of Lithuania. The courts of the Republic of Lithuania have jurisdiction over any dispute. If you are a consumer, you keep the protection of the mandatory laws of your country of residence. You may also bring a claim in its courts, or use the EU consumer dispute resolution procedures available to you.
16. Changes to these terms
We may update these Terms. We will publish the new version here and update the date at the top. For material changes affecting paid Services, we will notify you by email at least 30 days in advance. If you continue to use the Services after a change takes effect, you accept the updated Terms.
